Terms of Use – "Kreeda" Introduction Use of the "Kreeda" platform available through the website and/or the application (hereinafter: the "Website" and/or the "Application" and/or the "Service" and/or the "Platform") is subject to the Terms of Use detailed below (hereinafter: the "Terms of Use") including the Privacy Policy and subject to all applicable law. Use of the website and/or the application constitutes your express consent (hereinafter: the "User") to said terms. Use of the service is for lawful purposes only. The service is intended for legally competent users only. The purpose of the Terms of Use is to clarify the relationship between the operator of the service, [Kreeda legal entity name], Company No. [registration number] (hereinafter: the "Operator" and/or "Kreeda") and any person and/or entity accessing the website and/or the application and/or using the Operator's services. Use of the website and/or the application constitutes your consent to these provisions and conditions and your undertaking to act in accordance with them. If you do not agree to all the Terms of Use, do not use the website or the application. The Terms of Use govern your access to the website and the application and shall apply to any use you make thereof, including the information, content, and services appearing therein or in links to other information sources provided therein or through them, as well as any disclosure of information, and they constitute the legal basis for any engagement or action you take in this context. The Operator reserves the right to update the Terms of Use from time to time, at its sole discretion and without the need to provide any prior notice. The binding and determining version of the Terms of Use is the version published on the website and/or in the application at the time of your use thereof. Therefore, before performing any action on the website or in the application, you are requested to read, carefully, the Terms of Use, including the Privacy Policy. If you do not agree to all the Terms of Use, please refrain from any use of the website or the application. In the Terms of Use and in all texts appearing on the website and in the application, the singular includes the plural and vice versa, and the masculine includes the feminine and vice versa, all according to context. The Terms of Use are worded in the masculine for convenience only and do not constitute discrimination of any kind. These Terms of Use constitute the entire agreement between the parties and supersede any prior agreement, proposal, or representation, whether written or oral, regarding the subject matter hereof. In any case of contradiction and/or inconsistency of any kind between the content of the website or the application and the provisions of the Terms of Use, the provisions of the Terms of Use shall prevail. It is hereby clarified that the Operator may change and/or discontinue at any time the operation of the website and the application in whole or in part at its sole discretion and without any need for prior notice thereof, and the user shall have no claims against it in this regard. The service is active at all hours of the day and on all days of the week, and may be used at any time. However, the website or the application may be unavailable due to malfunctions beyond the Operator's control which may occur at any time and/or due to various maintenance work and/or other reasons, and the user shall have no claims against the Operator in this regard. For any question, clarification, comment, or problem regarding the service, you may contact the Operator by email at: _______________. It is hereby clarified that there may be changes in the contact details specified above and in the Operator's availability times at its sole discretion and without prior notice, and the user shall have no claims against it in this regard. It is emphasized already at this point that the Operator serves as a technological platform only, connecting padel players with padel court owners. Any engagement, transaction, court reservation, purchase of products, payment, or any other action of any kind made between users and/or between users and court owners is made at the sole responsibility of the parties involved therein, and without any responsibility on the part of the Operator. The Operator is not a party to any engagement between a user and a court owner, does not provide court services, is not responsible for the quality of the courts, their availability, their prices, their terms of use, or any other aspect related to the courts. The full and sole responsibility for all of these lies with the court owners alone. Definitions "Content" means the website, the application, the publications, the online pages contained therein, the information about courts and tournaments, the classification, arrangement, and presentation of the information and any other form of illustration contained therein, in mailings and text messages, the outputs, the player rating algorithm, the analyses, insights, recommendations, texts, images, links to courts, tournaments, and products, prices, the digital wallet, and any other information displayed on the website and/or in the application. "Service" means the website and the application, including accompanying instructions and guidelines, a platform for booking and reserving padel courts, registering for tournaments, coordinating matches, finding courts by location, player rating algorithm, chats and communities, virtual store (if operated), CRM system for court owners, accompanying personal support services, if and to the extent provided, and any modification and/or amendment of the foregoing as may be completed by the Operator from time to time at its sole discretion. "Website Errors" means any disruption in the availability of the website or the application caused by reasons beyond the Operator's direct control. "You" and "Users" mean, among others, individuals and entities authorized by us to use the service, including padel players, tournament participants, and court bookers. "Court Owners" means owners and/or operators of padel courts who use the platform for managing their courts, setting availability, setting prices, selling products (if provided), and providing other services to players. "Court" or "Courts" means padel courts of third parties (court owners) whose details appear on the platform. "Your Data" means all data and/or electronic information submitted by you and/or collected by the Operator on the website or in the application during the use thereof. "Virtual Store" means a system that will allow court owners to sell products and/or equipment related to the sport of padel through the platform, if operated in the future. "Digital Wallet" or "the Wallet" means a digital credit management system within the platform, allowing users to accumulate and use credits for payment for services on the platform. "Credits" means digital value units accumulated in the user's digital wallet, which can be used for payment for court reservations, tournament registrations, and any other service on the platform. The value of credits is equivalent to Indian Rupees (INR) at a ratio of 1:1, unless otherwise determined. At this stage, credits may be used for services only and not for purchasing products in the virtual store (if operated in the future). The Operator reserves the right to expand the use of credits to include product purchases in the future, at its discretion. "Referral Program" means a marketing program that allows users to earn credits in exchange for inviting new users to register for the platform, subject to terms and conditions published from time to time. Clarification Regarding Platform Operations The Operator serves as a technological platform only, enabling connection between padel players and padel court owners. The Operator provides technological tools for reserving and booking courts, registering for tournaments, coordinating matches, chats and communities, and selling products (in the future), but is not a party to any engagement between a user and a court owner. Court owners are solely responsible for everything related to their courts, including: (a) court availability; (b) rental prices; (c) court quality and maintenance; (d) terms of use for the courts; (e) cancellation and modification of bookings; (f) monetary refunds; (g) cancellation policies; (h) any other aspect related to the court and the services provided therein. The Operator is not responsible for the accuracy, correctness, currency, or completeness of information entered by court owners on the platform, including court availability, prices, descriptions, images, or any other detail. Court owners are solely responsible for updating the information and its accuracy. The Operator is not responsible for any act and/or omission of court owners, including but not limited to: court unavailability, booking cancellation, price change, decline in court quality, physical or property damage caused at the court, non-holding of a tournament, or any other damage arising from engagement with a court owner. Use of the service is made "As Is," and the Operator does not undertake to supervise, accompany, or bear any responsibility for conduct or results arising from use of the website or the application or from engagements created through them. The user is solely responsible for any engagement with court owners and other users, including verifying booking details, checking the terms of use of the court, verifying the actual availability of the court, and taking any relevant verification before making payment or arriving at the court. The user must ensure that they are in suitable physical condition to play padel and participate in tournaments. The Operator is not responsible for any physical injury or health damage caused to the user during a match or tournament. It is recommended to consult a physician before commencing sports activity. Use of Artificial Intelligence (AI) Technology The website and the application use Artificial Intelligence (AI) technologies and language models (LLMs) for the purpose of optimizing the services, including but not limited to: (a) calculating the player's level using an algorithm that takes into account wins, winning streaks, who the player defeated, and additional parameters; (b) recommendations for courts and matchups; (c) analyses and statistics; (d) improving the user experience. The user declares that they are aware that the analyses, recommendations, player ratings, and insights obtained through use of the application and/or the website are generated automatically by artificial intelligence systems, and the Operator has no ability to predict and/or fully control said analyses and/or insights and/or recommendations. The user declares that they are aware that player ratings, analyses, and insights obtained through use of the application and/or the website are not 100% accurate and do not constitute a professional or official sporting evaluation. The analyses and insights obtained are for personal tracking and illustrative purposes only. The Operator clarifies that despite efforts to provide accurate and relevant analysis, artificial intelligence models may sometimes provide erroneous, inaccurate, outdated analysis, or fabricate incorrect conclusions ("hallucinations"). The analyses and insights should not be relied upon as established facts without independent verification. The player's rating and matching recommendations are indicative only and do not constitute a guarantee of the player's actual level or a perfect match between players. Reliance on the rating and recommendations is at the user's sole responsibility. Registration and Login In order to use some of the services provided by the Operator, the user must register for the service by providing details as determined by the Operator, including: full name, phone number, email address, location (optional), preferred courts (optional), and additional details as required. The user undertakes to provide only accurate, correct, and truthful details. In case of a change in details, the user must update them immediately in the system. The Operator may verify user identities and require the presentation of documents at any time. It is the user's sole responsibility to keep their login details (username and password) confidential, and to update them from time to time, so that only the user can use them. The Operator and/or anyone on its behalf shall not be responsible for any activity in the user's account and/or in the user's personal area by anyone who used the user's login details. The account is personal and non-transferable. The user is responsible for all activity conducted under their account. Court Reservation and Booking The platform allows users to view padel court availability, reserve courts, and make bookings for various dates and times, according to the availability displayed in the system. Court availability, prices, and rental terms are determined by the court owners alone and are not under the Operator's control. The Operator serves as a technological platform only, displaying the information entered by the court owners in the CRM system. The Operator is not responsible for the accuracy, correctness, or currency of information regarding court availability. There may be cases where a court appears available in the system but is not actually available, or vice versa. The Operator shall not bear any responsibility for any damage arising from a discrepancy between the information displayed and actual availability. Court owners may change court availability, prices, and rental terms at any time, and the user shall have no claim against the Operator due to such changes. Booking confirmation is provided by the court owner and not by the Operator. Making a booking on the platform does not constitute a guarantee that the booking has been confirmed or that the court is indeed available. The user should verify receipt of final confirmation from the court owner. The user undertakes to arrive at the court at the scheduled time and to act in accordance with the terms of use set by the court owner. Failure to show up may result in cancellation fees or forfeiture of payment, in accordance with the court owner's policy. Cancellation and Refund Policy It is hereby clarified that the Operator serves as a technological platform only, and does not determine cancellation or refund policies. All cancellation and refund policies are determined solely by the court owner and/or tournament organizer and/or seller (in the case of product purchases in the future), and the Operator is not a party to such policy and is not responsible for its implementation. It is clarified that the default for monetary refunds is in the form of credits to the user's digital wallet on the platform. However, in certain cases, and in accordance with applicable law, the user shall be entitled to choose between a refund in the form of credits or a monetary refund to the credit card or bank account, as detailed below. The user must read and familiarize themselves with the cancellation and refund policy of the specific court owner before making a booking or payment. Cancellation policies may vary from court to court, and from tournament to tournament, and the user must verify the exact details in each case. Cancellation of a court reservation is subject to the court owner's cancellation policy. The Operator is not responsible for processing the cancellation or for a monetary refund, and payment made for the booking is transferred to the court owner. Refund following cancellation by the user: If the user cancels a court reservation on their own initiative, the refund (if approved by the court owner in accordance with their cancellation policy) will be made in the form of credits to the user's digital wallet on the platform only. The refund amount (the exact percentage of the amount to be refunded) will be determined by the specific court owner's cancellation policy, based on the timing of the cancellation relative to the planned match time. Refund following cancellation by the court owner: If the court owner cancels the booking on their own initiative (including due to weather, court malfunction, or any other reason not dependent on the user), the user shall be entitled to a full refund of the payment made. The user may choose between two refund options: (a) refund in the form of credits to their digital wallet on the platform, which will be credited automatically and immediately; or (b) direct monetary refund to the credit card or bank account from which the original payment was made, which will be processed within 7-14 business days from the date of the request, in accordance with the payment processor's policy. Cancellation of tournament registration is subject to the tournament organizer's cancellation policy. The Operator is not responsible for processing the cancellation or for a monetary refund. If the user cancels their registration on their own initiative and the refund is approved, it will be made in the form of credits to the digital wallet only. However, if the tournament organizer cancelled the tournament on their own initiative, the user shall be entitled to choose between a credit refund or a monetary refund. The platform service fee charged by the Operator (if charged) is non-refundable in the case of booking cancellation by the user, except in exceptional cases at the Operator's sole discretion. However, if the court owner cancelled the booking on their own initiative, the platform fee will be fully refunded to the user, in the same form of refund chosen by the user (credits or money). It is clarified that the Operator's default for monetary refunds is in the form of credits to the user's digital wallet on the platform. Monetary refunds (if approved by the court owner and/or tournament organizer) will be automatically credited to the user's digital wallet, unless the user is entitled to choose a direct monetary refund (as detailed above) and has explicitly chosen that option. Tournament Registration The platform allows users to register for padel tournaments held at various courts, according to information displayed on the website and in the application. Tournaments are organized and managed by court owners and/or by third parties, and the Operator serves as a technological platform only, enabling registration and payment. The Operator is not a party to the tournaments and is not responsible for their management, rules, prizes, cancellations, or any other aspect related to the tournament. Tournament registration includes providing personal details (full name, phone number, email address, and additional details as required) and making payment through the Operator's payment processing system. Payment for tournament registration is transferred to the court owner and/or tournament organizer, less a platform fee if charged. The Operator is not responsible for how the funds are used or for refund eligibility. The Operator is not responsible for tournament cancellation, date changes, rule changes, non-holding of the tournament, or any other damage arising from participation in a tournament or from its non-holding. The user declares that they are in suitable physical condition to participate in the tournament and that they have no medical condition preventing them from participating in sports activity. The Operator is not responsible for any physical injury or health damage caused to the user during the tournament. Insurance The Operator does not provide any insurance coverage to users, and is not responsible for insuring users during use of courts, participation in tournaments, matches, or any other sports activity conducted through the platform. The user must arrange for appropriate personal insurance covering sports activity, physical injuries, and property damage, at their sole responsibility. Court owners may require users to present proof of insurance or sign a waiver as a condition for using the court. The user must check the requirements of the specific court owner and act accordingly. The Operator shall not bear responsibility for any physical, property, or economic damage caused to the user during or as a result of use of courts, participation in tournaments, matches, or any other activity, regardless of the cause of the damage. The responsibility for self-insurance lies with the user alone. Match Coordination and Finding Players The platform allows users to coordinate padel matches with other users, search for players at a similar level, and find courts near their location (subject to granting location permission). Any match coordination, engagement, or meeting between users is made at the sole responsibility of the users, without any responsibility on the part of the Operator. The Operator does not verify users' identities, their sports level, their intentions, or their conduct. The user should exercise reasonable caution in any match coordination with other users, verify their identity, and meet them only in public and known places (such as padel courts). The Operator shall not bear responsibility for any damage, injury, fraud, deception, or undesirable outcome arising from match coordination or meeting with another user. The player rating and matching recommendations are based on an algorithm that calculates the player's level based on wins, winning streaks, who the player defeated, and additional parameters. The rating is indicative only and does not constitute a guarantee of the player's actual level. The Operator is not responsible for any discrepancy between the player's rating and their actual level. Chats and Communities The platform may offer direct chat services between users, groups, and/or communities for padel players, for the purpose of enabling communication, match coordination, content sharing, and creating social connections. The Operator does not actively monitor the content of conversations in chats and communities, and does not review, filter, or verify the content uploaded by users. The responsibility for chat content lies solely with the users. The Operator takes reasonable security measures to protect the privacy of conversations, including encryption of communications between users. However, the Operator cannot guarantee absolute protection against unauthorized access or information leakage. Chats may be encrypted at the transport layer but are not necessarily end-to-end encrypted, unless stated otherwise. The user undertakes not to publish in chats and communities any content that infringes or violates proprietary rights of others; pornographic or sexually explicit content; content whose publication is prohibited by law; content constituting defamation or invasion of privacy; harassing, offensive, hostile, threatening, vulgar, or racist content; information contrary to accepted internet usage norms; or any other content harmful to users or the Operator. The Operator may remove offensive, inciting, degrading, or legally violating content at its sole discretion and without prior notice. The Operator may block a user from access to chats and communities without prior notice. The Operator is not responsible for any damage arising from content published by users in chats and communities, including defamation, fraud, deception, emotional harm, or any other damage. It is recommended not to share sensitive personal information (such as ID numbers, credit card details, full home addresses, etc.) in chats or communities. User Code of Conduct Every user undertakes to act in accordance with the principles of fair sportsmanship, mutual respect, sports ethics, and proper discourse, both on the platform and on the courts. It is strictly prohibited to act violently, use physical force, threaten, harass, insult, or harm other users, court owners, other players, or any other person, whether during a match, tournament, platform communication, or any other context. The user undertakes to respect the equipment and facilities at the courts, and not to cause damage to courts, nets, balls, or any other equipment. In case of damage caused by the user, the user may be required to bear the cost of repair or replacement by the court owners. The user undertakes to comply with the rules of the game, tournament regulations, and instructions of court owners and/or referees and/or tournament organizers. Non-compliance may lead to disqualification from a tournament, blocking from the platform, or legal proceedings. The user undertakes to arrive on time for matches and tournaments, and to notify in advance in case of cancellation or delay. Repeated no-shows without notice may lead to restriction of access to the service. The user undertakes not to cheat, not to falsify results, not to manipulate the rating system, and not to act in any unfair or unethical manner. The Operator may cancel results, reduce ratings, block a user, or take any other action in case of suspected cheating or manipulation. The Operator may block a user from access to the platform, cancel their account, reduce their rating, or take any other action in case of violation of the code of conduct, violation of the Terms of Use, or any inappropriate behavior, at its sole discretion and without prior notice. Virtual Store and Product Purchases (If Operated) The platform may offer in the future a virtual store that will allow court owners to sell products and equipment related to the sport of padel through the platform. The Operator serves as a technological platform only, and the actual sale is carried out by the court owners. The Operator is not a party to the sale transaction and is not responsible for product quality, descriptions, prices, stock availability, shipping, returns, defects, or any other aspect related to the products. Court owners are solely responsible for everything related to the products sold by them. Payment for products is transferred to the selling court owner, less a platform fee if charged. Any claim, lawsuit, or demand regarding products shall be directed directly to the selling court owner, and the user shall have no claim or demand against the Operator in this matter. Payments and Processing Digital Wallet and Credits The platform includes a digital wallet system that allows users to manage digital credits, which can be used for payment for services on the platform. At this stage, credits may be used for services only, and not for purchasing products in the virtual store (if operated in the future). Credit value: The value of credits is equivalent to Indian Rupees (INR) at a ratio of 1:1, unless otherwise expressly determined by the Operator. Accumulating credits: A user can accumulate credits in the digital wallet in several ways, including: (a) monetary refunds following cancellations initiated by the user; (b) monetary refunds following cancellations by the court owner or tournament organizer; (c) referral program; (d) promotions, coupons, or reward programs; (e) any other method approved by the Operator. Using credits: Credits accumulated in the digital wallet may be used for payment for services on the platform. When making a payment, the user may choose to use credits from the wallet, a credit card, or a combination of both. Inability to withdraw credits as cash: Credits in the digital wallet cannot be withdrawn as cash and cannot be transferred to other users. Credits may only be used for purchasing services on the platform. Credit validity: Credits in the digital wallet are valid indefinitely, as long as the user's account is active on the platform. User responsibility: The user should track their credit balance in the digital wallet and verify the accuracy of transactions. Credit cancellation: The Operator reserves the right to cancel credits accumulated illegally, through fraud, abuse of the system, violation of the Terms of Use, or any other unfair activity. Referral Program The Operator operates a referral program in which a registered user can earn credits to their digital wallet in exchange for inviting new users to register and use the platform. Eligibility conditions, credit amounts, crediting timing, limitations, and referral link usage rules are as published from time to time by the Operator on the website and/or in the application. Payments on the platform are processed through an external payment processor integrated into the platform. Payment may be made by credit card, debit card, BIT, PayPal, or any other payment method as displayed on the website and/or in the application. The Operator uses tokenization technology for storing user credit card details. The user may delete stored credit card details at any time through account settings. The Operator does not store the full credit card details of the user. Liability and Disclaimer The service, and all information contained therein, are made available to the user "As Is" and "as available," without any commitment or warranty of any kind. The Operator does not guarantee that the service will operate without interruptions, will always be available, or will be free of malfunctions, errors, inaccuracies, or viruses. The Operator is not a party to any engagement between a user and a court owner, and therefore is not responsible for any act or omission of court owners. The Operator is not responsible for the accuracy, correctness, completeness, or currency of information displayed on the platform. The Operator is not responsible for any physical or property damage caused to the user during use of a court, participation in a tournament, a match with other users, or any other sports activity. The Operator is not responsible for any content uploaded by users in chats, communities, or any other part of the platform. The Operator shall not bear responsibility for any damage or injury, direct or indirect, of any kind, caused to the user as a result of use of the service, reliance on information displayed on the platform, engagement with court owners or other users, or any other reason related to use of the platform. The Operator is not responsible for the content of third-party advertisements or commercial offers that may appear on the platform. The Operator does not guarantee that links on the platform will be functional and lead to an active link. Engagement with Third Parties (Court Owners) The user is solely responsible for any engagement with court owners and other users. The user declares that they are aware that the Operator does not necessarily verify all information appearing and uploaded by court owners and users on the platform. Any transaction concluded between a user and a court owner is settled directly between the user and the court owner, and does not include the Operator or anyone on its behalf as a party to the transaction or as responsible therefor. User Obligations The user undertakes toward the Operator not to publish on the platform any content that infringes or violates proprietary rights of others; pornographic or sexually explicit content; content whose publication is prohibited by law; defamatory content; harassing, offensive, hostile, threatening, vulgar, or racist content; misleading information; information contrary to accepted internet usage norms; or any other content harmful to users or the Operator. The user is prohibited from using false contact details, impersonating any person, uploading fictitious and/or illegal publications, and misleading the Operator and/or users of the service in any other way. The user undertakes not to use the platform for commercial purposes without prior written approval from the Operator. The user undertakes not to perform any action that may disrupt the platform's operation. Intellectual Property All intellectual property rights, including moral rights, economic rights, copyrights, trademarks, trade names, patents, designs, trade secrets, algorithms (including the player rating algorithm), and any other right in respect of the website, the application, and the platform, including but not limited to the content, design, editing, and manner of presentation and editing of the information appearing therein, are exclusively reserved to the Operator. The ownership and intellectual property rights in third-party content, including images appearing on the platform, are the property of the content owners, and may be subject to third-party terms of use. By using the platform, the user agrees that the Operator may use the content they uploaded, including images and texts, without such use entitling them to payment. The Operator respects the rights of third parties and takes the necessary steps not to infringe any right of third parties. If the rights of a third party have been infringed in good faith, intellectual property infringement may be reported by email at: _______________. Use of Private Information The Operator respects the privacy of platform users. Information regarding the Privacy Policy can be found in the Privacy Policy appearing on the website and in the application. The Operator collects and stores information about users, including: full name, phone, email, location (if the user granted permission), preferred courts, match history, wins, rating, and additional details as specified in the Privacy Policy. The Operator uses the information collected for the purpose of providing the service, improving the user experience, security, communication with users, marketing (subject to user consent), and additional purposes as specified in the Privacy Policy. The Operator may transfer information to third parties (such as payment processors, court owners, AI service providers) for the purpose of providing the service, subject to applicable law and the Privacy Policy. Security The Operator's platform is secured using advanced security measures aimed at ensuring proper and safe use of the platform and protecting user privacy. Every user of the platform undertakes not to engage in any activity that may disrupt the platform's operation, including but not limited to theft of user information and breaching security mechanisms. Despite the security measures taken, the Operator cannot guarantee absolute protection against unauthorized access, breaches, information leakage, or any other cyber threat. The user declares that they are aware of the risks inherent in the use of the internet and online services and accepts them. In case of suspected breach, information leakage, or any other security event, the Operator will act in accordance with applicable law and inform users as required. Term and Termination This agreement shall enter into force on the day the user makes any use of the platform, and shall continue until the user terminates use of the service. The Operator may terminate this agreement at any time, including in the following cases: (1) the user has breached a provision of this agreement; (2) the Operator is required to do so by law; (3) provision of the service is no longer economically viable. In such cases, the Operator will provide the user, to the extent possible, with reasonable prior notice of the termination of the agreement. The Operator may change these terms from time to time at its sole discretion. The responsibility to stay updated on such changes lies with the user by accessing these Terms of Use from time to time. Use of the service at any time constitutes consent to the updated and amended terms, as they were at that time. The Operator reserves the right to change or discontinue the service or part thereof on the platform, without prior notice. In the event of discontinuation of the service, the Operator shall not be liable to the user or to any third party for damage or loss. The provisions regarding intellectual property and disclaimer of liability shall survive the termination of the agreement. General, Jurisdiction, and Notices These Terms of Use, including the Privacy Policy, constitute the entire agreement between the parties and supersede any prior agreement, proposal, or representation, whether written or oral, regarding the subject matter hereof. No change, amendment, or waiver of any provision of this agreement shall be valid unless made in writing and signed or electronically approved by the party against whom such change, amendment, or waiver is claimed.
